InfraVia announced the completed acquisition of a majority stake in Nexis Group GmbH on 9 September 2026, marking the first investment of InfraVia Growth Fund II. Tikehau Capital participates as a minority shareholder alongside previous sponsor Elvaston. Founded in Regensburg in 2009 by Ludwig Fuchs, Nexis supplies identity visibility, intelligence and governance software to large enterprises and regulated institutions. The company serves more than 130 customers, including Munich Re, AXA, Swiss Post and Swisscom. Its platform automates access reviews, segregation of duties and compliance monitoring, incorporating its NICO AI functionality. InfraVia intends to support international commercial expansion beyond the DACH region. Managing directors Heiko Klarl and Michael Kunz remain committed to the business. Transaction consideration and the exact ownership percentage were not disclosed.
Mater Private Network, backed by InfraVia since 2018, announced completion of a €520 million senior secured refinancing on 1 September 2026. The seven-year package replaces financing raised in 2022 and includes additional capital expenditure capacity. Lenders comprise AIB, Bank of Ireland, Intesa Sanpaolo, Nord/LB and Alpha Bank, alongside funds managed by BNP Paribas Asset Management and Edmond de Rothschild Asset Management. The hospital group operates 11 Irish locations and has invested in surgical theatres, catheterization laboratories, robotic systems and imaging. Its electronic health record rollout supports coordination and patient services. InfraVia’s relationship is an equity sponsorship, not a claim that InfraVia provided this debt. Jefferies was exclusive debt adviser, Arthur Cox advised the borrower legally and Mason Hayes & Curran advised lenders.
On 6 July 2026, InfraVia and CVC announced an agreement for InfraVia European Fund VI to acquire D-Marin alongside its management team. D-Marin was founded in 2003 and acquired by CVC in 2020. At announcement, the platform operated 28 premium marinas across nine countries, with more than 14,300 berths, including over 1,000 superyacht berths. It served more than 50,000 customers annually and included 12 professional boatyards. InfraVia plans continued investment in the marina network, customer services and digital capabilities, drawing on its transportation, maritime and leisure infrastructure experience. Completion was expected during 2026 subject to customary approvals; the announcement does not establish a completed acquisition. Morgan Stanley and White & Case advised InfraVia, while Goldman Sachs and Clifford Chance advised CVC. Consideration was undisclosed.
InfraVia announced approximately SEK 420 million of investment in Gruvaktiebolaget Viscaria for a 6.6% stake, as part of a SEK 2.4 billion capital increase. The 17 June 2026 release identifies this as the third investment of its Critical Metals strategy and states InfraVia would become the company’s second-largest shareholder. The Nasdaq Stockholm-listed company is developing the fully permitted Viscaria brownfield underground copper mine in Kiruna, northern Sweden. The project has existing underground infrastructure, rail access and available hydroelectric power. At full production, expected output is around 120,000 tonnes of concentrate containing approximately 26,000 tonnes of copper annually. Concentrate production was expected in 2028. An offtake memorandum with Aurubis was disclosed. Proceeds support construction and development rather than representing a purchase of the entire mine.
On 28 April 2026, InfraVia-backed Kyotherm and Allianz Global Investors announced a €200 million multi-currency debt facility to refinance selected existing projects and fund future investment. The facility is denominated across euros, sterling and US dollars, with a capital-expenditure component drawable over 3.5 years. Drawdowns depend on sizing metrics and portfolio credit-quality checks, aligning financing with the long-term contracted character of the assets. Proceeds also support the acquisition of 11 operational projects from SDCL Efficiency Income Trust, contributing to Kyotherm’s 414 MW secured net capacity. The structure allows financing or acquisitions without arranging a separate debt package for each project. This is financing for Kyotherm’s portfolio; it is not a €200 million commitment by InfraVia or an LP subscription into an InfraVia fund.
InfraVia-backed Kyotherm announced an approximately €120 million acquisition of a 155 MW operating portfolio from SDCL Efficiency Income Trust on 28 April 2026. The acquisition comprises 11 contracted projects across the United States, United Kingdom, Ireland, Portugal, Sweden and Singapore. Assets cover biomass, geothermal, cogeneration and energy savings and are supported by long-term industrial and commercial customer contracts. Financing uses a long-term debt facility against contracted cash flows. The transaction raises Kyotherm’s consolidated capacity to 414 MW and expands its international footprint. InfraVia has supported Kyotherm since November 2024, helping finance renewable heat and efficiency projects. This is a portfolio-company acquisition; the €120 million is the portfolio transaction value, not InfraVia’s own equity commitment or its acquisition price for Kyotherm.
InfraVia announced an investment term sheet with Carester on 9 April 2026 for a contemplated minority investment by its Critical Metals Fund alongside USA Rare Earth. Each investor would hold approximately 12.5% of Carester after the proposed transaction. Closing remained conditional on confirmatory due diligence, agreed conditions and execution of definitive documentation. Founded in 2019, Carester specializes in rare earth recycling and separation. Its Caremag facility in Lacq, southern France, was scheduled for commissioning in late 2026, with annual capacity to recycle 2,000 tonnes of magnets and refine 5,000 tonnes of mining concentrate. French and Japanese public entities support Caremag. USA Rare Earth’s subsidiary Less Common Metals Europe develops a nearby metal and alloy facility. The proposed stake is not presented as completed ownership.
On 1 April 2026, InfraVia announced majority acquisitions of Mercia Power Response and Balance Power Projects and their combination into Supernova Power. InfraVia owns a majority equity stake in the combined UK flexible-power platform, with both management teams holding minority interests. Mercia had been majority owned by Foresight-managed funds since 2015 and operated 262 MW of gas-peaking and battery assets, with more than 400 MW of battery projects in development. Founder-owned Balance had delivered 39 projects and maintained a battery development pipeline above 1.4 GW. The combination integrates development, construction, operations, financing and energy management to support renewable deployment and grid flexibility. Macquarie Capital and Ashurst advised InfraVia. Transaction consideration and exact sponsor ownership were not disclosed.
On 19 March 2026 InfraVia announced its first Critical Metals strategy investment, committing US$50 million through a convertible note to Core Lithium. This forms part of a broader US$205 million package with Glencore, Nebari and institutional investors. Financing supports operation of the Finniss lithium project south of Darwin in Australia’s Northern Territory. The project combines underground and open-pit ore extraction with on-site processing into high-grade spodumene concentrate. First concentrate shipments were expected in the third quarter of 2026, with full commercial production targeted for mid-2028. InfraVia identified possible future plant expansion and regional resource growth. The instrument is a convertible note, so no existing equity ownership percentage is inferred. The French State seeds the Critical Metals strategy alongside private institutional capital.
On 12 January 2026, InfraVia announced completion of OREIMA’s integration and effective merger following the partnership and acquisition announced in 2023. Former OREIMA teams now operate under the InfraVia brand and constitute its Real Estate vertical alongside Infrastructure, Growth Equity and Critical Metals. OREIMA’s established approach focuses on prime city-centre properties with repositioning and refurbishment opportunities. The integrated team retains this approach while gaining access to InfraVia’s operating infrastructure, ESG capabilities, digital resources, international network and investor relations function. Founder Brigitte Sagnes Dupont continues as InfraVia’s real estate partner. The source describes a completed organizational integration after two years, rather than a newly announced standalone acquisition. No acquisition consideration or transaction valuation is disclosed; the historic partnership and subsequent merger should both remain in the record.
