Court issues partial dismissal ruling in ACI Learning litigation

In Kowatch v. ACI Learning, C.A. 2025-1398-SKR, the Delaware court granted part and denied part of a motion to dismiss. Defendants include Boathouse Capital LP, Boathouse Capital Continuation Fund LP and Chong Moua. Fraud and negligent-misrepresentation claims concerning inducement into the stock purchase agreement, and related pre-closing conspiracy allegations, survived this pleading-stage motion. Claims concerning inducement into rollover agreements and the fiduciary-duty and aiding-and-abetting counts were dismissed. This procedural decision is not a final finding of liability or damages. A later final disposition has not been verified.
