Humana announces CenterWell joint venture agreement with BlackRock's HPS

Humana signed a joint venture agreement with HPS-managed funds and accounts, part of BlackRock, for nearly 150 CenterWell senior primary care clinics. The proposed arrangement would replace WCAS through acquisition of its stake, which Humana valued at approximately $2.8 billion. CenterWell would retain a minority interest and continue operations. The October 13 announcement expected completion in the fourth quarter of 2026, subject to closing conditions and regulatory approval. Exact ownership percentages and additional growth-capital commitments were not disclosed.
