Union Pacific proposed acquiring Norfolk Southern at an announced enterprise value of approximately USD 85 billion. Norfolk Southern holders would receive one Union Pacific share and USD 88.82 cash per share. Wells Fargo advised Union Pacific. The transaction remained under Surface Transportation Board review as of October 18, 2026; a July 27 issuer update expected completion in mid-2027.
