T-Mobile acquisition of UScellular wireless operations and selected spectrum

T-Mobile agreed to acquire UScellular’s wireless operations and selected spectrum for an announced USD 4.4 billion. The sale closed August 1, 2025 at USD 4.3 billion after adjustments: USD 2.6 billion cash and USD 1.7 billion debt consideration, subject to final adjustments. Wells Fargo advised UScellular parent TDS. Retained towers and other assets were excluded. The amount is the closing value of this transaction; a separate Iowa wireless acquisition is excluded.
