HPS-managed investors’ proposed acquisition of WCAS stake in CenterWell clinic joint ventures

Humana announced on October 13, 2026 that HPS-managed funds and accounts would acquire WCAS’s clinic-venture equity, valued at approximately $2.8 billion as stated in the release. Closing was expected in Q4 2026. HPS investors would hold the majority; CenterWell would retain a minority and operate the clinics. CenterWell may purchase clinics from 2028. If any remain after 2033, HPS investors may initiate a sale process, subject to CenterWell’s first-offer right. The acquired interests are clinic ventures, not Humana shares.
